These Terms and Conditions ("Terms") govern your use of PathX Logistics' ("PathX," "we," "us") website and dispatch services. By using our services, you agree to these Terms.
Acceptance of Terms
By submitting a form on this website, signing up for dispatch services, or otherwise engaging PathX, you confirm that you have read, understood, and agree to be bound by these Terms.
Description of Services
PathX provides truck dispatch services for owner-operators and small fleets, including sourcing loads, negotiating rates with freight brokers, and coordinating paperwork associated with each load. Dispatch fees are charged as a percentage of gross revenue per load, based on the truck type used, consistent with the current rates listed on our Prices page.
Client Responsibilities
To be dispatched by PathX, you're responsible for providing accurate and current information, including:
- Valid MC Authority (or documentation showing authority is in progress)
- A current Certificate of Insurance
- A completed W-9
- Accurate driver and truck/equipment information
You're responsible for keeping this information up to date and notifying PathX promptly of any changes that could affect your ability to operate or be dispatched.
Payment Terms
PathX's dispatch fee is a percentage of the gross revenue for each load booked on your behalf, based on your truck type as listed on our Prices page. Fees are assessed per load; specific invoicing and payment arrangements will be confirmed directly with your dispatcher as part of your service agreement.
Limitation of Liability
PathX acts as a dispatch service and does not itself act as a motor carrier, broker, or freight forwarder for the loads it helps arrange. To the fullest extent permitted by law, PathX is not liable for indirect, incidental, or consequential damages arising from your use of our services, including disputes with brokers, shippers, or other third parties involved in a load.
Termination of Services
Either PathX or you may end the dispatch arrangement at any time with reasonable notice to the other party. Termination does not affect any obligations already accrued prior to the termination date, such as fees owed on loads already booked.
Governing Law
